We have an Urgent Opening for as a Company Secretary
Academic Qualification:
• The candidate should be a qualified Company Secretary with Membership of the Institute of Company Secretaries of India.
JD
• Preparation of the Annual Compliance Calendar and managing all routine activities of the Secretarial Department.
• Drafting of all minutes and obtaining their approval.
• Organizing and holding all meetings of the Board, its Committees and Shareholders for all entities of the Group. (Agenda, minutes, implementation of resolutions, etc.)
• Managing all compliances of the laws applicable to the Company
• Develop and oversee the systems that ensure the company complies with all applicable SEBI and LODR regulations, in addition to its legal and statutory requirements.
• Maintaining the statutory records, registers, etc. and filing documents with MCA
• Acting as a liaison between the company and government regulatory bodies and advisors (SEBI, Stock Exchanges, ROC, Financial Institution, Merchant Bankers, Legal Advisors/ Councils).
• Providing guidance and support to the Board on corporate governance matters.
• Preparation of annual reports, financial statements and other statutory reports (DPT, SBO, MSME, statistical, XBRL)
• Corporate Social Responsibility including of Vetting & validation of CSR partners.
• Handled Inter-se Transfer and restructuring of Promoters Shareholding of the Listed Company.
• Pay dividends and manage share option schemes and take a role in share issues, mergers and takeovers.
• Maintain the register of shareholders and monitor changes in share ownership of the company in a publicly listed company.
Desired Work experience:
• Significant professional post qualification experience of minimum of 6 years
• Minimum 5 years’ experience as a company secretary of a listed legal entity.
• Demonstrated experience advising board of directors on matters of governance, compliance and best practices; and
• Demonstrated experience and competence in interpretation of complex legislation and
Regulations.
